2. Description of Service

MenuIQ is an AI-powered platform that enables restaurants and stores to create and manage digital menus, process customer orders, and provide AI-assisted customer service through a chat interface. The Service includes:

• Menu and product management tools
• Order processing and management
• Payment processing integration (via Stripe)
• AI-powered chat interface for customer interactions
• Custom domain support
• Email notification services
• Subscription management for recurring products

3. Account Registration

To use the Service, you must:

• Create an account by providing accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years of age.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Transmit any harmful, offensive, or illegal content
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service

5. Payment Terms

Subscription Fees: Access to certain features of the Service may require payment of subscription fees. Fees are billed in advance on a monthly or annual basis, as selected by you.

Payment Processing: All payments are processed securely through Stripe. By using the Service, you agree to Stripe's Terms of Service and Privacy Policy.

Refunds: Subscription fees are generally non-refundable. Refund requests will be considered on a case-by-case basis at our sole discretion.

Price Changes: We reserve the right to modify subscription fees at any time. We will provide at least 30 days' notice of any fee increases. Continued use of the Service after the effective date of the fee change constitutes acceptance of the new fees.

6. Customer Orders and Transactions

Order Processing: When customers place orders through your portal, you are responsible for fulfilling those orders. We facilitate the order process but are not a party to the transaction between you and your customers.

Payment Processing: Payment processing is handled through Stripe Connect. You are responsible for setting up and maintaining your Stripe account in accordance with Stripe's requirements.

Order Disputes: Any disputes regarding orders, refunds, or customer service are between you and your customers. We are not responsible for resolving such disputes, though we may provide tools to assist you.

7. Intellectual Property

Service Ownership: The Service, including its original content, features, and functionality, is owned by us and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain ownership of all content you upload to the Service, including menu items, images, and business information. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of providing the Service.

Trademarks: The "MenuIQ" name, trademarks, service marks, and logos are our property and may not be used without our prior written permission.

8. Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

• Scheduled maintenance
• Unscheduled maintenance or repairs
• Technical failures
• Circumstances beyond our reasonable control

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

9. Data and Privacy

Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

Termination by Us: We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your account and data, subject to our data retention policies as described in our Privacy Policy.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any conduct or content of third parties on the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant or make any representations regarding the use or results of the Service in terms of accuracy, reliability, or otherwise.
